Role Summary
The Chief Legal Officer (CLO) is the senior legal executive responsible for overseeing the organization's legal strategy, governance, regulatory compliance, corporate affairs, and risk management. The CLO serves as a trusted advisor to the CEO, Board of Directors, and executive leadership team, ensuring the organization operates within legal and regulatory frameworks while supporting business growth and strategic initiatives.
Key Responsibilities
Serve as the principal legal advisor to the CEO, Board, and executive leadership team.
Develop and execute the organization's legal strategy in alignment with business objectives.
Provide legal guidance on strategic initiatives, mergers and acquisitions, partnerships, and corporate restructuring.
Anticipate and mitigate legal risks associated with business operations and growth.
Ensure compliance with corporate governance standards and best practices.
Advise the Board and executive leadership on fiduciary responsibilities and governance matters.
Manage board resolutions, corporate records, and governance policies.
Support corporate secretarial functions where applicable.
Oversee enterprise-wide legal and regulatory compliance programs.
Ensure compliance with applicable laws, regulations, and industry standards.
Monitor regulatory developments and assess their impact on the organization.
Develop legal risk mitigation frameworks and compliance controls.
Lead the negotiation, drafting, and review of significant commercial agreements.
Oversee contract management processes and legal documentation standards.
Provide legal support for strategic partnerships, vendor agreements, and customer contracts.
Ensure contractual arrangements adequately protect organizational interests.
Manage litigation strategy and external legal counsel relationships.
Oversee dispute resolution, arbitration, mediation, and regulatory investigations.
Assess litigation exposure and recommend appropriate legal actions.
Ensure effective management of legal claims and liabilities.
Lead legal due diligence for mergers, acquisitions, joint ventures, and investments.
Structure transactions to minimize legal and regulatory risk.
Manage external advisors and legal workstreams throughout transaction lifecycles.
Support post-merger integration activities from a legal perspective.
Promote a culture of ethics, integrity, and compliance.
Oversee whistleblower programs, investigations, and ethics policies.
Ensure adherence to anti-corruption, anti-bribery, and corporate conduct standards.
Lead internal investigations involving legal and compliance matters.
Build and lead a high-performing legal and compliance function.
Manage legal budgets and external counsel expenditures.
Develop legal talent and succession planning initiatives.
Establish legal operations processes and performance metrics.
Qualifications & Experience
Juris Doctor (JD), LLB, or equivalent law degree.
Licensed attorney admitted to practice in a relevant jurisdiction.
15+ years of progressive legal experience.
Minimum 5+ years in a senior legal leadership role (General Counsel, CLO, Head of Legal, Legal Director).
Experience advising executive leadership and boards of directors.
Strong background in corporate law, governance, compliance, commercial contracts, and regulatory matters.
Experience managing complex legal transactions and litigation.
