The Role:

We are looking for a seasoned Senior Commercial Counsel to join our legal team, providing comprehensive commercial and transactional legal counsel and support. This role plays a critical part in safeguarding the company's legal interests, ensuring contract compliance, and contributing to the strategic decision-making process.

Responsibilities:

Legal Strategy and Advice:

  • Provide legal counsel, guidance, and strategic advice to the organization's leadership and business units on commercial matters.
  • Evaluate and mitigate legal risks associated with business operations and decision-making.
  • Collaborate with executive management to develop and implement legal strategies that align with the company's mission and objectives.

Contract Management:

  • Draft, review, and negotiate a wide range of commercial contracts and agreements, including sales agreements, distribution agreements, licensing agreements, and procurement contracts.
  • Ensure that contracts are compliant with applicable laws, regulations, and company policies.
  • Manage contract templates and standard clauses.
  • Experience using a contract lifecycle management tool.

Compliance and Regulatory Affairs:

  • Monitor and ensure the organization's compliance with applicable laws, regulations, and industry standards.
  • Keep abreast of legal developments and their impact on the organization's commercial operations.

Vendor and Supplier Agreements:

  • Review and negotiate vendor and supplier agreements to ensure favorable terms and compliance with legal and business requirements.
  • Collaborate with procurement and supply chain teams on vendor relationships.

Intellectual Property:

  • Protect and manage the organization's intellectual property, including trademarks, patents, and copyrights, in commercial contracts.
  • Assist in licensing and IP-related agreements.

Corporate Governance:

  • Ensure compliance with corporate governance requirements and practices in commercial transactions.
  • Manage corporate filings and regulatory requirements related to commercial operations.

Team Leadership:

  • Foster a collaborative and innovative work environment within the legal department.
  • Provide guidance, mentoring, and training to team members.

Qualifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license to practice law in the relevant jurisdiction.
  • 4+ years of experience practicing law, with a focus on commercial and transactional matters.
  • In-house legal experience is preferred.
  • Strong understanding of legal principles, commercial law, and regulatory compliance.
  • Excellent analytical, negotiation, and problem-solving skills.
  • Exceptional communication, interpersonal, and presentation skills.
  • Ability to work in a fast-paced and dynamic environment.

The annual base salary range for this position based in the United States is listed below. This salary range is an estimate, and the actual salary may vary based on Neo4j’s compensation practices, job related skills, depth of experience, relevant certifications and trainings, in addition to geographic location. Based on the factors above, Neo4j utilizes the full width of the range.

In addition to the range below, US employees are eligible for a stock option grant and certain roles are eligible for an annual bonus. Employees in this position are also eligible to participate in the Company’s standard benefit programs, which currently include the following: medical, dental, and vision benefits, 401(k), paid time off, and certain leaves of absence.
